Second Wind describes UCC Article 9 transactions as a way to preserve operating value through a secured creditor’s disposition of business assets. Its materials frame this as an out-of-court restructuring approach. That is a more substantial transaction than simply asking a funder for a lower weekly payment.

Separate fees from transaction funding
Request consulting charges, legal fees, valuation costs and any funding required to complete an asset purchase as separate amounts. Identify what is payable upfront, at milestones or at closing, and what is refundable if the plan changes.
Define deliverables and responsibilities
Ask who handles creditor contact, prepares the proposed structure, identifies a buyer and arranges financing. Set reporting milestones and ask what alternative is available if a necessary participant declines.
When is its approach worth exploring?
Its emphasis on business reorganization may be relevant when the problem involves collateral, several creditor positions or the future ownership of an operating business. An owner seeking only a lower MCA payment should ask whether that narrower need can be addressed without a broader transaction.
Evaluate the proposed end state: who owns the assets, which obligations remain, what happens to guarantees and how the business funds ongoing operations. A payment reduction alone does not answer those questions.
