MCA Personal Guarantees: Understanding Your Personal Liability and Options
A business workout and a personal release are different things. Learn what to check in your guarantee, your provider’s scope and the final settlement paperwork.

What Is an MCA Personal Guarantee?
An MCA personal guarantee is an agreement that may make a business owner personally responsible for specified obligations connected to a merchant cash advance. Its scope depends on the wording, triggering events and applicable law.
MCAs are generally structured as purchases of future receipts. A guarantee can create a separate personal obligation; it does not automatically authorize seizure of your property or waive every protection available to you.

When Could You Be Personally Liable?
A failed ACH withdrawal does not necessarily trigger immediate personal liability. Review the guarantee’s default terms, notice requirements and other conditions.
Performance guarantees may cover unauthorized payment blocking, diversion of receipts, prohibited account changes or false information. Liability is not necessarily limited to fraud, and a business closure does not automatically protect the guarantor.
LLC protections and asset exposure
Enforcing a personal guarantee is different from piercing the corporate veil. The claim arises from the owner’s own contractual promise, although defenses and legal protections may still apply.
If a funder obtains an enforceable judgment against you, potential remedies may include bank restraints, property liens or garnishment where permitted. Exemptions, ownership and required procedures matter; a contractual default does not itself make the funder a judgment creditor.
From my experience, a guarantee does not automatically rule out discussions about restructuring or a reduced settlement. But a creditor may still pursue enforcement, and financial distress does not force it to accept an offer.

Does Restructuring, Settlement or an Article 9 Sale Release Your Guarantee?
A business-level workout does not automatically release your personal guarantee. Check the actual agreement and any conditions attached to a release.

Creating a new company does not itself protect personal accounts or compel discounted settlements. Nor does a rejected reconciliation request automatically establish an illegal loan. Counsel must assess the agreements, creditor conduct and applicable law.

What Should You Ask About a Written Guarantor Release?
My focus when reviewing a provider’s explanation is whether the paperwork addresses both the business and the owner. I would ask counsel to confirm these four points:
- Who and what are released? Identify each guarantor, entity and covered obligation. “Mutual” or “bilateral” describes reciprocal releases; that label alone does not mean the owner is covered.
- Does completing the settlement satisfy the specified balance? Clarify fees, interest and any reserved amount. Clear enforceable terms matter more than including the phrase “accord and satisfaction.”
- What filings must follow? Identify required dismissals, judgment satisfactions or lien-related filings, who handles them and the deadline. An unentered confession of judgment differs from an existing judgment.
- When does the release take effect? Review final-payment conditions, default or reinstatement clauses, reserved claims and treatment of payments later reversed or recovered in bankruptcy.
Keep the signed agreement, payment records and confirmation of required filings. Do not rely on a verbal assurance or assume a brief email resolves every obligation.
What You Should Ask Providers About Personal Exposure
A plan to improve business cash flow may leave personal claims unresolved. Before enrolling, ask:
- What is your plan for my guarantees and any judgment-related documents? Identify work requiring separate legal review or negotiation.
- Who handles urgent collection matters? Ask what happens if a creditor sues or an account is restrained, and which costs are additional.
- Who represents me? Confirm whether counsel represents the business, you individually, or both. Sharing information with a consultant does not automatically create attorney-client privilege.
- How does applicable state law affect my assets? Ask counsel about property ownership, exemptions and enforcement. Business registration alone may not determine the answer.
